THE SOCIAL BRAND — TERMS & CONDITIONS

By booking a session, submitting payment, joining a program, or using our services, you agree to the following Terms and Conditions.
 

1. Overview

These Terms and Conditions apply to all services provided by The Social Brand referred to as we, us, or our to any client referred to as you or your.

We provide guided podcast recording, strategic storytelling, pre strategy preparation, and content creation services designed to build influence, authority, visibility, and brand connection.
 

These Terms apply to all programs including but not limited to:
• The Story Feature
• The Three Part Series
• The Influence Program
 

Digital acceptance, electronic signatures, and online agreement constitute legally binding execution of this agreement.
 

2. Program Definitions

The Social Brand provides the following programs.
 

The Story Feature | Once Off Studio Experience
Includes:
• One pre strategy session
• One 50 minute studio podcast recording
• Four short form reels
• Edited podcast episode
• Raw footage from all cameras
• Behind the scenes photography
• Episode transcript
• Professional studio lighting and custom set
• Multi camera setup
• Professional studio operator
 

The Three Part Series | Three Month Program
Includes:
• Three pre strategy sessions
• Three 50 minute studio podcast recordings
• Short form reels per episode
• Edited podcast episodes
• Raw footage from all cameras
• Behind the scenes photography
• Episode transcripts
• Professional studio lighting and custom set
• Multi camera setup
• Professional studio operator
 

The Influence Program  | Six Month Program
Includes:
• Six pre strategy sessions
• Six 50 minute studio podcast recordings
• Five short form reels per month
• Edited podcast episodes
• Raw footage from all cameras
• Behind the scenes photography
• Episode transcripts
• Professional studio lighting and custom set
• Multi camera setup
• Professional studio operator
 

3. Bookings & Acceptance

Your booking is confirmed once payment has been received.

By making a booking, you acknowledge that:
• You have read, understood, and agreed to these Terms
• You are authorised to enter into this agreement
• All communication will occur via email or SMS
• We reserve the right to decline or discontinue services where required
 

4. Services Provided

We provide:
• Pre strategy sessions focused on storytelling, brand direction, authority, confidence, and positioning
• Guided podcast recording
• Short form reels and edited content
• Full episode audio and video files
• Digital delivery via Google Drive or Dropbox
 

We do not provide:
• Social media posting or management
• Teleprompter scripts or full scripted interviews
• Ongoing content distribution
• Marketing, advertising, or sales services
 

Creative direction, storytelling flow, filming style, and editing approach remain at the discretion of The Social Brand.
 

We do not guarantee:
• Audience growth
• Revenue
• Engagement
• Sales
• Partnerships
• Media exposure
• Commercial outcomes
 

5. Pre Strategy Requirements

To ensure the best possible outcome:

• All pre strategy forms, questionnaires, and requested materials must be completed at least 72 hours before your session
• Late completion may reduce the quality or depth of your final content
• We are not liable for reduced quality, missed direction, or limited storytelling outcomes caused by incomplete preparation
• Delays caused by the client do not pause program timelines or payment schedules
 

If you request to cancel or reschedule within 72 hours for any reason:
• Your session is not forfeited
• A AUD $500 late scheduling fee applies
• This must be paid before your new session date is confirmed
 

6. Payment Terms

6.1 The Story Feature |  Once Off Session

• Full payment is required to secure your booking
• All payments are non refundable
• Your booking is not confirmed until payment is received
 

6.2 The Three Part Series | Three Month Program

• Payment is due in full upon commencement of the program
• This is a strict three month commitment
• The program cannot be paused or cancelled
• All payments are non refundable
• Missed sessions become banked sessions
 

6.3 The Influence Program | Six Month Program

• First month’s payment is due upon joining
• All future monthly payments are processed automatically via our direct debit provider
• Processing fees may apply
• This is a strict six month commitment
• The program cannot be paused or cancelled
• All payments are non refundable
• Missed sessions become banked sessions
 

Failed Payments
• If a scheduled payment fails, you agree to resolve payment within 48 hours
• Continued failure may result in suspension or termination of services

All fees are non refundable once production or preparation has commenced.
 

7. Cancellations & Rescheduling

All programs are non refundable.
 

The Story Feature
• You may reschedule your session with notice
• A AUD $500 scheduling fee applies for rescheduling within 14 days
• Failure to attend without notice results in full forfeiture of the session
 

The Three Part Series and The Influence Program
• Programs cannot be cancelled once commenced
• Missed sessions become banked sessions
• Programs cannot be paused or extended
 

8. Program Attendance & Banked Sessions

• Program timelines are fixed and commence from the agreed start date
• Delays caused by client availability, travel, illness, or scheduling conflicts do not extend the program term
 

For the Three Part Series and Influence Program:
• Missed sessions become banked sessions
• Banked sessions must be used within six months after the program ends
• Any unused sessions after this period will expire
 

Strategic Disclaimer
Delays, missed sessions, or long gaps between recordings may alter:
• Narrative flow
• Brand cohesion
• Content sequencing
• Personal branding direction
• Intended strategy outcomes
 

We are not responsible for any disruption to your strategic outcomes caused by missed or delayed sessions.
 

9. Editing & Revisions

For short form reels:
• Each reel includes up to three revisions
• Additional revisions are AUD $100 per edit
• Revision requests must be submitted within 14 days of delivery
• Revision requests must remain within the original agreed scope
• Major creative changes require a new agreement
 

10. Intellectual Property & Usage

10.1 Joint Ownership of Content

The following content is jointly owned by The Social Brand, the client, and the recording studio:
• Raw footage
• Reels
• Full episode recordings
• Edited videos
• Audio files
• Transcripts
 

10.2 Usage by The Social Brand

By booking, you grant us a perpetual, royalty free licence to use your content for:
• Promotions
• Marketing
• Advertising
• Portfolio display
• Social media
• Case studies
• Brand storytelling
• Educational materials
 

10.3 Client Usage

• You may use your content for personal and business marketing
• Resale, licensing, or redistribution of the content as a standalone commercial product requires written approval
 

10.4 Our Intellectual Property

• All proprietary frameworks including the Six Pillars of Social Influence remain the exclusive property of The Social Brand
• These materials cannot be reproduced, copied, or repurposed
 

11. Client Responsibilities

You are responsible for:
• All statements made on camera
• Ensuring the accuracy of your claims
• Obtaining permission for any third party brands, logos, images, or trademarks referenced
• Compliance with relevant laws
• Conduct of any guests you bring
 

We are not responsible for:
• Defamatory or misleading statements
• Reputational outcomes
• Legal action arising from your content
• Public backlash or comments
• Intellectual property breaches committed by you or your guests
 

12. Indemnity

You agree to indemnify and hold harmless The Social Brand against any claim, liability, loss, cost, damage, penalty, or legal expense arising from:
• Statements made by you or your guests
• Defamation or misleading content
• Intellectual property breaches
• Breaches of these Terms
• Complaints made by third parties

This indemnity continues after services end.
 

13. Delivery & File Retention

• Deliverables are provided digitally via Google Drive or Dropbox
• Standard formats include MP4, WAV, and MP3
• You are responsible for downloading and backing up all files upon delivery
• Raw files are stored for 12 months, then permanently deleted
• We are not responsible for long term archiving beyond the stated retention period
 

14. Music & Media Licensing

• Music used in reels is licensed for social media use only
• Additional licensing is required for use in ads, websites, or paid promotions
• You are responsible for obtaining additional licences where required
 

15. Technical Issues & Studio Liability

We are not liable for:
• Equipment malfunctions
• Corrupted files
• Power outages
• Studio disruptions
 

Re recording may be offered at our discretion and subject to studio availability.
 

Overtime
• If your session runs beyond the allocated booking time, overtime fees may apply as set by the recording studio

Damage
• You are fully responsible for any damage you or your guests cause to studio equipment or property
• Repair or replacement costs are determined by the studio

We are not liable for injuries, accidents, or hazards occurring within the studio.
 

16. Travel & Accommodation

For sessions requiring travel outside Melbourne:
• Additional fees apply for travel, accommodation, and studio hire
• These fees must be paid prior to recording
 

17. Confidentiality

• Both parties must keep all sensitive and private information confidential unless legally required to disclose
• Confidentiality obligations survive termination of this agreement
 

18. Force Majeure

We are not responsible for delays or cancellations caused by factors outside our control including:
• Illness
• Natural disasters
• Government restrictions
• Technical failures
 

19. Termination & Conduct

We reserve the right to terminate this agreement immediately if:
• You breach these Terms
• You engage in unlawful conduct
• You behave in a manner that is abusive, threatening, or disruptive to staff or studio partners
 

We reserve the right to refuse service to any client engaging in:
• Harassment
• Discrimination
• Hate speech
• Abusive conduct
 

20. Governing Law

These Terms are governed by the laws of Victoria, Australia.
 

21. Acceptance

By booking, submitting payment, attending a session, or joining a program, you agree to these Terms and Conditions in full.

This agreement constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or understandings.
